ChurchIQ Terms of Service
This ChurchIQ Terms of Use Agreement (“Terms”) is between TheStudio C, LLC (“StudioC”) and you, the person or organization accessing or using the ChurchIQ product or platform (“Customer,” “you,” or “your”). These Terms govern your use of the ChurchIQ platform and services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
“ChurchIQ” means StudioC’s business intelligence and analytics platform designed for ministry organizations.
“MES Customer” refers to customers who have purchased StudioC’s Member Engagement Solution subscription.
“Custom Reports” means business intelligence dashboards or reports commissioned by you and created by StudioC outside the standard Service offerings.
“Subscription” means your recurring payment plan for access to ChurchIQ.
“Content” refers to all data, information, documents, and other materials that StudioC and/or you upload, provide, or create through the Service, on behalf of your organization.
2. Service Description and Eligibility
ChurchIQ is a subscription-based business intelligence platform that provides analytics and reporting tools for ministry organizations.
To use the Service, you must:
Be at least eighteen (18) years old and able to enter into a legally binding contract;
Have authority to approve and represent your organization in a binding contract;
Complete the account registration process;
Provide true, complete, and up-to-date contact and billing information;
Agree to these Terms and all related policies referenced herein.
StudioC reserves the right to refuse service, close accounts, or change eligibility requirements at any time.
3. Subscription and Payment
ChurchIQ is available as:
An additional service for current MES customers, or
A standalone subscription purchased separately.
You agree to pay all applicable fees for your Subscription according to the pricing plan assigned at signing of agreement or acceptance of Terms; including a one-time Setup fee and monthly recurring subscription.
Setup fee will be due at signing.
Billing for monthly Subscriptions occurs on the same day each month, based on your initial subscription date. Existing MES customers will have consolidated invoicing and subscription(s) billing will occur on the same date; with ChurchIQ subscription commencing after signing or activation, per Terms.
All fees are non-refundable unless explicitly stated otherwise in these Terms or required by law.
Notwithstanding the above, StudioC offers new ChurchIQ clients a 60-day money-back guarantee on subscription fees only. If you are not satisfied with the Service within the first 60 days after your initial subscription date, you may cancel your Subscription by contacting customer support and request a refund of subscription fees paid during this period. The one-time Setup fee is non-refundable under any circumstances. This money-back guarantee is only available to new clients during their initial 60-day period and does not apply to any subscription fees paid after this initial period. To qualify for the refund, you must submit your cancellation request before the end of the 60-day period.
Quoted fees do not include applicable taxes, which will be charged separately.
StudioC may change Subscription fees by providing notice at least 30 days in advance of any price change.
StudioC may establish limits on data transactions based on your subscription level. Exceeding these limits may result in additional charges or changes to your subscription level.
Custom Reports and business intelligence dashboards may be commissioned for an additional fee under a separate service agreement.
Any changes to your monthly Subscription fee due to Custom Report requests will be outlined in separate agreement and must be approved via a signed agreement.
4. Term and Termination
These Terms begin when you sign up for an account and will continue for as long as you maintain an active Subscription.
Either party may terminate these Terms at any time and for any reason, with or without cause.
You may terminate your Subscription by contacting customer support, 30 days advance notice required.
Upon termination, you will lose access to the Service and all Content stored within it.
StudioC may suspend access to your account if payment is not received when due.
5. Account Security and Passwords
You are responsible for maintaining the confidentiality of your account credentials.
You accept responsibility for all activities that occur under your account, whether or not authorized by you.
You must notify StudioC immediately of any unauthorized use of your account or any other security breach.
StudioC has the right to update any of your contact information for billing purposes.
6. Content and Proprietary Rights
You retain ownership of all Content you provide to the Service.
By using the Service, you grant StudioC a limited license to use, process, store, and transmit Content as necessary to provide the Service.
You represent and warrant that your Content does not violate any third-party rights and that you have all necessary rights to share such Content through the Service.
StudioC owns all proprietary rights in the Service, including patents, trademarks, service marks, trade secrets, copyrights, and other intellectual property rights.
7. Privacy and Data Protection
StudioC’s handling of personal information is governed by our Data Protection Addendum and Privacy Policy.
You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws.
If you use personal information through the Service, you represent that you have obtained all necessary consents and provided all required notices under applicable laws.
8. Prohibited Uses
You agree not to:
Use the Service to violate any laws or regulations;
Distribute harmful, offensive, or misleading content;
Attempt to gain unauthorized access to any part of the Service;
Interfere with or disrupt the integrity or performance of the Service;
Reverse engineer, decompile, or disassemble any aspect of the Service;
Create a competing product based on the Service;
Share your password or account access with others;
Resell, distribute, or sublicense the Service without StudioC’s permission.
9. Limitation of Liability
To the maximum extent permitted by law, StudioC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues resulting from your use of the Service.
StudioC’s total liability arising out of or related to these Terms will not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the liability.
The Service is provided “as-is” without any warranty of any kind, express or implied.
10. Indemnification
You agree to indemnify and hold harmless StudioC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your use of the Service or violation of these Terms.
11. Modifications to Terms or Service
StudioC may modify these Terms at any time by posting revised Terms on our website.
Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.
StudioC may change, suspend, or discontinue any aspect of the Service at any time without prior notice.
12. Miscellaneous
These Terms constitute the entire agreement between you and StudioC regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
These Terms shall be governed by the laws of the State of Arizona, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You may not assign these Terms or any rights or obligations hereunder without StudioC’s prior written consent.
